Terms of Service

The rules for using GrailSwap, plus the beta terms and risk disclosures every trader should read before their first trade.

Last updated: July 7, 2026 · Draft — subject to legal review before public launch.

1. What GrailSwap is

GrailSwap is a peer-to-peer marketplace for trading tokenized graded trading cards on the Solana blockchain, settled in USDC. The tokens traded here represent physical cards that are vaulted by independent partner platforms (currently Collector Crypt and Phygitals). GrailSwap never takes custody of physical cards. Custody, vaulting, insurance, and redemption of the physical item are handled entirely by the partner platform that issued the token, under that platform's own terms.

GrailSwap provides trade matching, offer negotiation, an instant swap against a platform-held token inventory, and settlement transaction construction. Trades settle as a single on-chain transaction that both parties sign.

2. Accounts and wallets

Your account is your Solana wallet. Signing in means proving control of a wallet by signing a message; there is no password and no email login. You are solely responsible for the security of your wallet, its seed phrase, and any device it lives on. GrailSwap cannot recover a wallet, reverse a signature, or restore assets sent from a compromised wallet.

Before signing any settlement transaction, review it. Your wallet shows you what the transaction moves; the GrailSwap interface shows a plain-language summary. If either does not match what you expect, do not sign.

3. Fees

Peer-to-peer trades are free — GrailSwap charges no platform fee between traders; you pay only Solana's network cost. Instant swaps and instant sells are priced against the Trade Bot vault for immediate liquidity; the value shown on each card is what you give or receive, and the full total is disclosed before you commit and settles in the same on-chain transaction. The current schedule, with worked examples, is on the Fees & Pricing page; it may change with notice on that page.

4. On-chain settlement is final

Trades settle on the Solana blockchain. Once a settlement transaction is confirmed on-chain, it is irreversible. GrailSwap cannot undo, refund, or roll back a confirmed trade — there is no chargeback mechanism. Treat every signature as final. If a transaction fails or expires before confirmation, assets are released back to their owners; only confirmation transfers anything.

5. Beta terms

GrailSwap is in beta. Features may change, break, or be removed without notice; availability is not guaranteed; and we may pause trading at any time (for example, to investigate a suspected bug on the settlement path). We may limit access to invited wallets during the beta period. Do not trade assets you cannot afford to have tied up while an issue is investigated.

6. Prohibited conduct

You agree not to:

  • Defraud or attempt to defraud other users, including misrepresenting an asset or a trade's terms.
  • Wash trade — trading with yourself across wallets to fake volume, manipulate reference prices, or farm activity.
  • Exploit bugs. If you find one, report it instead of using it; assets or funds obtained through an exploit may be frozen on the platform and pursued.
  • Circumvent asset verification, impersonate a partner platform's tokens, or list assets from unapproved sources as verified.
  • Interfere with the service: scraping at abusive rates, bypassing rate limits, or attacking the infrastructure.

We may suspend or restrict wallets that violate these rules.

7. Asset verification and partner platforms

An asset shows as verified on GrailSwap when its token matches an approved partner collection and the partner platform's attestations about it (grade, grader, certification number, insured value where published). GrailSwap does not itself inspect, grade, or authenticate physical cards — we rely on the partner platforms' attestations and their custody of the physical item. If a partner's attestation is wrong, or a vaulted card is lost, damaged, or misdescribed, your recourse is with that partner under its terms, not with GrailSwap.

Redeeming a token for the physical card happens on the partner platform, subject to its fees, shipping terms, and eligibility rules.

8. No financial advice; reference prices

Nothing on GrailSwap is financial, investment, tax, or legal advice. Collectible prices are volatile and can go to zero.

Market values shown in the interface are reference prices drawn from third-party sources (card catalogs, partner-published values, graded-sale aggregators). They may be stale, wrong for a specific grade or printing, or unavailable. They are inputs to help you evaluate a trade — not appraisals, not warranties of value, and not the price anyone will actually pay. Fairness indicators computed from them inherit the same limits.

9. Rip Index and pack EV figures

The Rip Index page shows modeled expected-value estimates for gacha packs sold on partner platforms. These figures are informational models built from observed card values and estimated outcome frequencies. They are not gambling advice, not guaranteed or published odds, and not a prediction of any individual pack's outcome. Every modeled pack has negative expected value — opening packs is entertainment, not a strategy. Pack purchases and openings happen on the partner platforms under their terms, not on GrailSwap.

10. Limitation of liability

The service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, [GrailSwap operating entity] and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost assets, or lost data — including losses from wallet compromise, blockchain network failures, partner platform failures (custody, insurance, redemption), price inaccuracy, or beta defects. Where liability cannot be excluded, it is capped at the greater of $100 or the platform fees you paid to GrailSwap in the twelve months before the claim.

11. Disputes, governing law, and contact

These terms are an agreement between you and [GrailSwap operating entity]. They are governed by the laws of [governing jurisdiction], without regard to conflict-of-law rules, and disputes will be resolved in the courts of [venue] unless the parties agree otherwise.

Disputes between traders about a trade's fairness are not something GrailSwap can adjudicate after on-chain settlement — see section 4. For questions about these terms, suspected fraud, or bug reports, contact us at [contact email].

We may update these terms; material changes will be posted on this page with a new "last updated" date. Continuing to use GrailSwap after an update means you accept the revised terms.
